Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the websites, mobile applications, online platforms, task tools, resident tools, rental listing pages, communications, content, features, and related services operated by Collab Z Inc. and its affiliates and subsidiaries (“Collab,” “we,” “us,” or “our”), including the website located at living.collabhome.io and related Collab websites and services that link to these Terms (collectively, the “Services”).
Please read these Terms carefully. By accessing or using the Services, creating an account, submitting information, applying for housing, participating as a Community Pro, claiming or completing a task, communicating with us through the Services, or otherwise using any part of the Services, you agree to be bound by these Terms.
If you do not agree to these Terms, do not access or use the Services.
1. About Collab and the Services
Collab provides technology-enabled property management, rental, resident, community, and task-related services. The Services may allow users to:
- learn about Collab and its community-based property management model;
- browse rental properties and available units;
- schedule tours or request rental information;
- access resident portals or third-party property management tools;
- apply for housing or begin resident onboarding;
- register or apply to participate as a Community Pro;
- browse, claim, perform, submit, and track property-related tasks;
- earn cash, points, rent credits, rewards, or other approved compensation for eligible completed tasks;
- communicate with Collab staff, residents, prospects, service providers, contractors, or other approved users;
- receive service, rental, leasing, maintenance, community, task, payment, or account-related communications.
Certain Services may be provided directly by Collab, while others may be provided through third-party platforms, vendors, payment processors, property management systems, app stores, communications providers, or other service providers. Your use of third-party services may be subject to additional terms and policies.
2. Additional Terms
Some parts of the Services may be subject to additional terms, policies, rules, guidelines, disclosures, agreements, or notices, including but not limited to:
- rental applications;
- leases;
- resident portal terms;
- Community Pro onboarding materials;
- task-specific instructions;
- payment or wallet terms;
- SMS Terms of Service;
- Privacy Policy;
- property rules;
- community guidelines;
- third-party provider terms;
- securities offering documents, where applicable.
If there is a conflict between these Terms and a more specific written agreement, lease, application, task instruction, payment term, or legally required disclosure, the more specific document will control for that specific subject matter.
Nothing in these Terms is intended to limit or waive any non-waivable tenant, housing, employment, consumer, privacy, tax, or other legal rights.
3. Eligibility
You may use the Services only if you are legally able to enter into a binding agreement.
You must be at least 18 years old to create an account, apply to become a Community Pro, claim tasks, receive payments, apply for housing through the Services, or submit personal information through the Services, unless we expressly permit otherwise in writing and all legally required consents are obtained.
To participate as a Community Pro, you must satisfy Collab’s applicable eligibility requirements, which may include being a current resident of a Collab-managed property, being otherwise approved by Collab’s operations team, completing onboarding, completing identity or residency verification, satisfying task-specific requirements, and maintaining good standing with Collab and the applicable property.
We may accept, reject, suspend, or terminate access to any Service, account, role, or task opportunity where permitted by law.
4. Accounts and Security
You may be required to create an account or use a third-party account system to access certain Services. You agree to provide accurate, current, and complete information and to keep your information updated.
You are responsible for:
- maintaining the confidentiality of your login credentials;
- all activity that occurs under your account;
- promptly notifying us if you believe your account has been compromised;
- using reasonable care when accessing the Services from a shared or public device;
- complying with any multi-factor authentication, identity verification, or security requirements.
You may not create an account using false information, impersonate another person, allow unauthorized users to access your account, or use another person’s account without permission.
5. Rental Listings, Applications, and Resident Services
Rental information available through the Services is provided for informational purposes only. We make reasonable efforts to keep rental information accurate, but availability, pricing, deposits, fees, incentives, lease terms, floor plans, amenities, property details, images, tours, and other information may change at any time without notice.
A rental listing, property page, advertisement, promotion, website statement, or communication through the Services is not a binding offer to lease. Any lease or rental obligation arises only when all required parties have completed and signed the applicable lease or rental agreement and all required approvals, payments, and conditions have been satisfied.
Rental applications may be subject to screening criteria, identity verification, income verification, guarantor requirements, co-applicant requirements, applicable law, property rules, and separate application terms. Submission of an application does not guarantee approval.
If a rental listing, application, lease, payment portal, resident center, or maintenance workflow is provided through a third-party platform, your use of that platform may be subject to that provider’s own terms and policies.
Collab supports equal housing opportunity. You may not use the Services to discriminate, harass, exclude, discourage, or treat any person differently in connection with housing, tours, applications, tenancy, property access, services, or communications on the basis of any protected characteristic under applicable law.
6. Community Pro Participation
A “Community Pro” or “CP” is a user approved by Collab to participate in optional property-related tasks. CP tasks may include, depending on the property and task availability, leasing support, apartment showings, light maintenance, cleaning, organizing shared areas, taking photos, delivering notices, meeting vendors, supporting community activities, or other approved tasks.
CP participation is voluntary. You are not required to become a CP, claim tasks, complete tasks, or continue participating as a CP. Participation as a CP is separate from your lease or rental status, except that misconduct, property damage, safety violations, illegal conduct, harassment, unauthorized access, or other serious conduct may have consequences under applicable property rules, lease terms, law, or separate agreements.
Unless otherwise stated in a separate written agreement, CPs are not employees of Collab. CPs participate as independent task participants who choose whether to claim available tasks and are paid or rewarded based on eligible completed and approved tasks. These Terms do not create an employment relationship, partnership, agency relationship, joint venture, franchise relationship, or fiduciary relationship between you and Collab.
You acknowledge that worker classification may depend on applicable law and the facts of the relationship. Nothing in these Terms is intended to unlawfully waive rights that cannot be waived.
7. Task Listings and Task Performance
Task listings may include a description, location, estimated time, deadline, checklist, required skills, reward amount, points amount, payment method, approval requirements, safety instructions, required evidence, or other details. You are responsible for reviewing the full task description before claiming or performing a task.
By claiming or performing a task, you agree to:
- follow all task instructions, property rules, safety requirements, and applicable laws;
- perform the task in a careful, respectful, professional, and timely manner;
- interact appropriately with residents, prospects, vendors, staff, and other community members;
- avoid harassment, discrimination, threats, intimidation, retaliation, or unsafe conduct;
- protect property, keys, access codes, documents, personal information, and confidential information;
- avoid entering any unit, room, private area, or restricted area unless expressly authorized;
- avoid performing work that requires a license, permit, certification, or specialized expertise unless you hold the required qualification and Collab has approved you for that task;
- avoid performing dangerous, hazardous, emergency, electrical, plumbing, structural, security, legal, medical, or other specialized work unless expressly authorized and qualified;
- submit accurate task completion information, time records, photos, notes, receipts, or other evidence where required;
- promptly report safety issues, damage, emergencies, errors, or concerns.
Collab may refuse, reverse, adjust, delay, or withhold approval for any task that is incomplete, late, incorrectly performed, unsafe, fraudulent, unauthorized, unsupported by required evidence, inconsistent with task instructions, or otherwise not eligible for payment.
8. Task Approval, Ratings, and Feedback
A task is not considered finally complete until it has been reviewed and approved by Collab or another authorized reviewer. We may use checklists, photos, time data, location data, chat records, resident feedback, staff review, third-party confirmation, or other available information to verify task completion.
Users may receive ratings, feedback, performance notes, badges, or other reputation indicators. Ratings and feedback are intended to support service quality, task matching, safety, and community trust. We may moderate, remove, or restrict ratings or feedback that are false, abusive, discriminatory, retaliatory, irrelevant, or otherwise inappropriate.
Consistently poor performance, failure to complete tasks, repeated cancellations, safety issues, fraud, misconduct, or violation of these Terms may result in reduced task access, suspension, removal from the CP program, forfeiture of unapproved task rewards, or other action permitted by law.
9. Payments, Points, Rent Credits, and Rewards
Eligible users may receive compensation or rewards for approved tasks in the form made available by Collab, which may include cash payouts, in-app wallet balances, points, rent credits, gift cards, vouchers, partner rewards, or other benefits.
Payment or reward availability may vary by property, task type, user status, location, applicable law, payment provider availability, and operational requirements. Collab may change available payment or redemption methods at any time.
Unless expressly stated otherwise:
- payment is earned only after a task is completed and approved;
- estimated rewards shown before task completion are not guaranteed until approval;
- points are not legal tender, stored value, a deposit account, a bank account, securities, or an ownership interest in Collab;
- points have no cash value except to the extent Collab allows redemption through an approved redemption method;
- points, rent credits, and rewards are personal to the approved user and may not be sold, transferred, assigned, pledged, or exchanged outside the Services;
- rent credits may be applied only in accordance with Collab’s then-current redemption rules and may require processing time;
- payment processing may be subject to third-party provider requirements, identity verification, banking verification, anti-fraud review, minimum thresholds, transaction limits, reversals, chargebacks, compliance checks, or legal obligations;
- Collab may correct errors, reverse duplicate payments, adjust balances, or recover amounts paid in error.
You are responsible for any taxes, filings, reporting, deductions, expenses, or other obligations arising from payments, points, rent credits, rewards, or other compensation you receive through the Services. Collab may issue tax forms or reports where required by law, but you remain responsible for your own tax obligations.
10. No Guarantee of Tasks, Earnings, Housing, or Results
Collab does not guarantee that:
- any user will be approved as a CP;
- any CP will receive any minimum number of tasks;
- any task will be available at a particular time or location;
- any task will result in a specific amount of earnings;
- any user will receive particular ratings, bonuses, rent credits, or rewards;
- any rental unit will remain available;
- any applicant will be approved for housing;
- any resident will receive a particular maintenance outcome, response time, or service result unless required by a separate written agreement or applicable law.
Any examples, testimonials, marketing statements, or descriptions of possible earnings, rent credits, task opportunities, resident experiences, or platform benefits are illustrative only and do not guarantee that you will achieve the same or similar results.
11. Communications
By providing your contact information or using the Services, you agree that Collab and its service providers may contact you about your account, rental inquiries, applications, leases, resident services, maintenance, tours, tasks, payments, security, legal notices, updates, marketing, or other matters related to the Services.
Communications may occur by email, phone, SMS, in-app notification, push notification, chat, mail, or other channels, subject to applicable law and your communication preferences.
Marketing communications may be subject to separate consent and opt-out mechanisms. Service-related, transactional, security, legal, and account communications may still be sent even if you opt out of marketing communications.
SMS communications may be subject to separate SMS Terms of Service, SMS privacy disclosures, carrier rules, consent language, message frequency disclosures, and opt-out instructions.
12. User Content
The Services may allow you to submit, upload, send, post, or otherwise provide content, including messages, photos, videos, reviews, ratings, testimonials, task evidence, maintenance notes, documents, application information, profile information, and other materials (“User Content”).
You retain ownership of your User Content, subject to the rights you grant to Collab under these Terms. By submitting User Content, you grant Collab a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, host, store, reproduce, modify, display, distribute, publish, analyze, and create derivative works from your User Content as reasonably necessary to operate, improve, market, protect, and provide the Services, manage properties, process applications, review tasks, verify payments, resolve disputes, comply with law, and enforce these Terms.
You represent that you have all rights necessary to submit your User Content and grant the license above.
You may not submit User Content that is false, misleading, discriminatory, defamatory, obscene, harassing, threatening, unlawful, invasive of privacy, infringing, unsafe, fraudulent, or otherwise inappropriate.
You may not photograph, record, publish, or share images, videos, personal information, private spaces, or communications involving other residents, prospects, staff, contractors, or third parties unless you have authorization and the content is necessary for an approved task or Service.
If you submit a testimonial, review, rating, endorsement, or similar content, you agree that it must reflect your honest opinions and actual experience. If you have received payment, rewards, rent credits, points, discounts, or other benefits that relate to your statement, you must disclose that connection where required by law or requested by Collab.
13. Privacy
Your use of the Services is also governed by our Privacy Policy and any applicable SMS privacy policy or other privacy disclosures.
By using the Services, you acknowledge that Collab may collect, use, disclose, store, and process information as described in the applicable privacy policies. This may include information you provide directly, information collected automatically, account information, resident information, task information, communications, payment-related information, device information, and information provided by third-party service providers.
You are responsible for complying with privacy obligations when performing tasks, communicating with others, accessing resident or property information, submitting photos or evidence, or handling documents, keys, codes, or other sensitive information.
14. Third-Party Services and Links
The Services may contain links to, integrations with, or functionality provided by third-party websites, applications, platforms, payment processors, property management tools, app stores, communication tools, analytics providers, identity verification providers, rental listing sites, calendar tools, mapping tools, or other vendors.
Third-party services are not controlled by Collab. Your use of third-party services is subject to the terms and policies of those providers. Collab is not responsible for third-party websites, applications, content, data practices, outages, errors, fees, decisions, or services.
The inclusion of a third-party link or integration does not imply endorsement unless expressly stated.
15. AI, Automation, and Informational Tools
The Services may include automated tools, AI-assisted tools, recommendations, task instructions, summaries, chat support, matching logic, pricing or compensation suggestions, or other technology-enabled features.
AI or automated outputs may be incomplete, inaccurate, delayed, or inappropriate for your specific situation. You are responsible for reviewing and verifying any instructions, recommendations, summaries, or outputs before relying on them.
AI-assisted features are not a substitute for professional judgment, emergency services, legal advice, financial advice, tax advice, medical advice, licensed contractor services, or property management decisions requiring human review.
16. Emergencies
The Services are not an emergency response system. Do not use the Services as your sole method of reporting emergencies, threats to life or safety, fire, flood, gas leaks, crimes, serious property damage, medical emergencies, or other urgent situations.
In an emergency, call 911 or the appropriate emergency services immediately. You should also notify Collab or the applicable property contact through the appropriate channel when safe to do so.
17. Prohibited Conduct
You may not use the Services to:
- violate any law, regulation, lease, property rule, third-party right, or agreement;
- submit false, misleading, fraudulent, or incomplete information;
- impersonate any person or entity;
- access, enter, or attempt to enter any property, unit, account, system, or area without authorization;
- interfere with the security, operation, integrity, or availability of the Services;
- scrape, crawl, harvest, copy, or misuse data from the Services without authorization;
- reverse engineer, decompile, probe, scan, or test the vulnerability of any system without authorization;
- upload malware, spam, or harmful code;
- harass, threaten, intimidate, discriminate against, exploit, or abuse any person;
- retaliate against any person for reporting a concern, complaint, safety issue, discrimination issue, or violation;
- use the Services for unlawful housing discrimination or unlawful employment discrimination;
- claim or perform tasks under another person’s identity;
- misrepresent task completion, time spent, location, receipts, expenses, photos, or eligibility;
- request or accept off-platform payments for tasks unless approved by Collab;
- solicit residents, prospects, vendors, contractors, or users for unauthorized commercial purposes;
- damage, misuse, or remove property;
- disclose confidential or personal information without authorization;
- perform unsafe, licensed, restricted, or prohibited work without authorization and proper qualifications;
- use the Services in a manner that could harm Collab, residents, prospects, owners, vendors, staff, service providers, or the community.
18. Intellectual Property
The Services, including all software, designs, text, graphics, logos, names, trademarks, service marks, photographs, videos, interfaces, workflows, content, documentation, and other materials, are owned by Collab or its licensors and are protected by intellectual property and other laws.
Subject to these Terms, Collab grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for their intended purposes.
You may not copy, modify, distribute, sell, lease, sublicense, exploit, reverse engineer, or create derivative works from the Services or Collab content except as expressly permitted by Collab in writing.
No rights are granted to use Collab’s names, trademarks, logos, branding, or proprietary materials without prior written permission.
19. Service Availability and Changes
We may modify, suspend, discontinue, restrict, or replace any part of the Services at any time. We do not guarantee that the Services will be uninterrupted, secure, error-free, or available at all times.
We may update features, remove features, change workflows, change task types, change eligibility requirements, update payment methods, change reward rules, adjust property information, or modify operational processes.
We are not responsible for delays, outages, errors, data loss, unavailability, or failures caused by third-party providers, internet connectivity, device issues, app store restrictions, payment processors, property management systems, force majeure events, or circumstances beyond our reasonable control.
20. Disclaimers
The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Collab disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and reliability.
Collab does not warrant that the Services will meet your requirements, that task or rental information will always be accurate or current, that payments will always be processed within a particular timeframe, that any user will receive specific results, or that the Services will be free from errors, interruptions, or security issues.
Nothing in these Terms excludes warranties or rights that cannot be excluded under applicable law.
21. Limitation of Liability
To the maximum extent permitted by law, Collab and its affiliates, officers, directors, employees, contractors, agents, owners, investors, service providers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost income, lost data, loss of goodwill, loss of housing opportunity, lost task opportunity, business interruption, or reputational harm, arising out of or related to the Services or these Terms.
To the maximum extent permitted by law, Collab’s total liability for any claim arising out of or related to the Services or these Terms will not exceed the greater of: (a) the amount you paid to Collab for the specific Service giving rise to the claim during the three months before the claim arose; or (b) one hundred U.S. dollars.
These limitations apply whether the claim is based on contract, tort, negligence, strict liability, warranty, statute, or any other legal theory, even if Collab has been advised of the possibility of such damages.
Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, the limitations will apply only to the maximum extent permitted by law.
22. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Collab and its affiliates, officers, directors, employees, contractors, agents, owners, investors, service providers, and licensors from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- your access to or use of the Services;
- your User Content;
- your violation of these Terms;
- your violation of law, lease terms, property rules, or third-party rights;
- your task performance or attempted task performance;
- your unauthorized access to property, systems, accounts, or information;
- your fraud, misconduct, negligence, or willful misconduct;
- your interactions with residents, prospects, staff, vendors, contractors, or other users.
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.
23. Suspension and Termination
We may suspend, restrict, or terminate your access to the Services, your account, your CP status, your ability to claim tasks, or your eligibility for certain features if we believe you have violated these Terms, violated applicable law, created risk for Collab or others, submitted false information, failed verification, engaged in unsafe conduct, misused the Services, or otherwise acted inconsistently with the intended use of the Services.
You may stop using the Services at any time. You may request account deletion by contacting us, subject to our Privacy Policy, data retention obligations, legal obligations, operational requirements, and legitimate business needs.
Sections that by their nature should survive termination will survive, including provisions relating to payments already owed or disputed, User Content licenses, intellectual property, privacy, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.
24. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms on the Services, sending an email, providing an in-app notice, or using another reasonable method.
The updated Terms will be effective as of the date stated at the top of the Terms or as otherwise specified in the notice. Your continued use of the Services after the updated Terms become effective means you accept the updated Terms.
If you do not agree to the updated Terms, you must stop using the Services.
25. Governing Law and Disputes
These Terms are governed by the laws of the State of California and applicable federal law, without regard to conflict of law principles.
Unless a separate written agreement, lease, application, or legally required process provides otherwise, any dispute arising out of or relating to these Terms or the Services will be brought in the state or federal courts located in Alameda County, California, and you consent to the jurisdiction and venue of those courts.
Before filing a claim, you agree to first contact Collab at the email address below and attempt to resolve the dispute informally. This informal resolution process does not prevent either party from seeking urgent injunctive relief, reporting issues to government agencies, exercising rights that cannot legally be waived, or complying with applicable deadlines.
Nothing in these Terms limits your right to make a report to a government agency, file a legally protected complaint, participate in a government investigation, raise housing discrimination concerns, raise workplace classification concerns, or exercise any non-waivable statutory right.
26. No Securities Offering or Investment Advice
Information on the Services may include general information about Collab, its business, properties, portfolio, operations, investor relations, or related matters. Unless expressly stated in official offering materials, nothing on the Services constitutes an offer to sell, a solicitation of an offer to buy, or a recommendation regarding any security, investment, or financial product.
Any securities offering, investment opportunity, crowdfunding offering, Regulation A offering, Regulation CF offering, or similar transaction is governed only by the applicable official offering materials, subscription documents, investor platform terms, and required disclosures.
You should not rely on general website content as investment, legal, tax, accounting, financial, or real estate advice.
27. Electronic Communications and Electronic Signatures
You consent to receive notices, disclosures, agreements, updates, and other communications electronically, including by email, in-app message, website notice, SMS where permitted, or other electronic means.
You agree that electronic communications satisfy any legal requirement that communications be in writing, to the extent permitted by law.
If the Services allow you to click to accept, check a box, submit an application, sign electronically, approve a task, authorize a payment, or otherwise indicate consent electronically, you agree that your electronic action may have the same legal effect as a handwritten signature, subject to applicable law and any additional e-signature disclosures.
